Web Design Contract
This Website Design Agreement (“Agreement”) has been made between “Client” (Shown as in Signature) and “Web Designer” Easy Marketing Ltd to design and develop a website.
1. Services
The Web Designer will provide the services described in the Invoice Service Description. The Service Contents may vary if both parties agree to change the contents to support the client’s marketing activities. Aside from this contract agreement, the contract will include all relevant documents, such as messages, emails, and document approval. If significant changes or additional functional requirements are required, a change order must be completed, agreed upon, and signed by both parties.
2. Cost and Payment
The amount in Service Payment will be charged by the Web Designer for the website design and development. The client will receive an invoice with a service description following the contract signature.
The first payment will be made two working days after Easy Marketing publishes the website, and the final payment will be made one week after Easy Marketing publishes the website; any changes must be made within a week of the website’s publication. We expect the client to raise all issues within two days of the website going live; if modifications are required, the client must provide relevant documents within a week for Easy Marketing to modify in a timely manner. Easy Marketing reserves the right to seek additional compensation for any late payment, which is typically 2% of the total contract sum per day with each late payment.
3. Confidentiality
During this Agreement and afterwards, the Web Designer will use reasonable care to prevent the unauthorized use or dissemination of the client’s confidential information. Confidential information is limited to information marked as confidential.
Confidential information does not include information that: the Web Designer knew before the client disclosed it; it is or becomes public knowledge through no fault of the Web Designer; the Web Designer obtains from sources other than the client, who owe no duty of confidentiality to the Client, or Developer develops independently.
4. Termination of Agreement
This Agreement will automatically terminate when both Parties have performed all their obligation under the Agreement, and all payments have been made.
5. Limitation of Liability
Neither party will be liable for breach-of-contract damages that are remote or speculative or that the breaching party could not reasonably have foreseen on entry into this Agreement.
6. Intellectual Property
The client will own the website and any visuals the Web Designer provides. The Web Designer will turn over all necessary files.
The client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide the Web Designer with and will not hold the Web Designer responsible for any third-party claims.
The Web Designer will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the client responsible for any third-party claims.
7. Dispute Resolution
If either party accuses the other of being in breach of contract, the accused party will have 30 days to address the breach.
8. Applicable Law
This Agreement shall be governed by and construed following the laws of the United Kingdom.
